1. Integration with Quotation Acceptance

This quotation forms an integral part of the Quotation Acceptance and must be read accordingly.

2. Scope of Services

The services outlined in this Quotation are designed to ensure that all matters relating to Environment, Health and Safety (EHS) are in strict compliance with local and international legal requirements, including relevant legal notices and guidelines.

3. Specific Purpose

This quotation is intended solely for the Project as detailed and may not be used for any other purpose without prior written consent.

4. Initial Payment

Upon signing this quotation, the Client shall effect payment for the initial deliverables. Payments may be made via bank transfer or cheque.

5. Payment Terms

Payment for services rendered is due strictly within 30 days from the date of the invoice. In the event of default on two consecutive invoices, ALDB & Associates Limited reserves the right to terminate services and recover outstanding payments, including interest at 4% per annum on overdue amounts.

6. Annual Price Adjustment

The annual cost of the agreed services is subject to a 5% annual increase based on the previous year’s pricing, effective following the yearly budget announcement.

7. Payment Methods

Payments can be made via bank transfer, cheque, or cash.

8. Termination for Breach

Either Party may terminate this Quotation if the other Party commits a material breach that remains uncured after a thirty (30)-day written notice period.

9. Payment upon Termination

If services are withdrawn or terminated, irrespective of the initiating party, the Client shall immediately pay ALDB & Associates Limited for all services rendered up to the effective date of termination.

10. Facilities Provision

The Client shall provide adequate office space, ergonomic seating, communications, office supplies, printing equipment, parking spaces, and welfare facilities, all of which must be regularly cleaned and supplied with hygienic items at the Client’s expense.

11. Site Access

Access to all areas requiring ALDB & Associates Limited’s services must be granted, including locations partially or fully transferred to third parties under sales, leases, or other agreements.

12. Insurance Responsibility

The Client is responsible for ensuring that the site/premises are adequately insured, including coverage for injuries sustained by ALDB & Associates Limited’s employees or service providers during the course of their duties.

13. Additional Services

Any additional services requested by the Client will require a new quotation. Upon approval of the quotation, the agreed prices will apply.

14. Notification of Changes

The Client must notify ALDB & Associates Limited within 24 hours of any changes in deliverables, timelines, schedules, or project scope.

15. Notification of Site Transfer

If the site or premises are transferred, sold, or leased to a third party, the Client must notify ALDB & Associates Limited in writing, after which ALDB & Associates Limited’s obligations will cease for the affected premises.

16. Project Suspension

If the project is put on hold, the Client must notify ALDB & Associates Limited in writing. Failure to provide this notification will result in continued service provision, with applicable charges.

17. Certification Requests

The Client authorizes ALDB & Associates Limited to request certifications for HSE compliance. Failure to provide the required certifications may result in work suspension.

18. Document Requests

ALDB & Associates Limited may request documentation to verify that the Client and its contractors are operating in compliance with HSE laws.

19. Corrective Actions

ALDB & Associates Limited is authorized to conduct inspections and report infringements to OHSA and other authorities. The Client must promptly rectify any issues identified in inspection reports.

20. Asbestos Safety

ALDB & Associates Limited reserves the right to halt work if asbestos is identified, moved, or used on-site, prioritizing safety concerns.

21. Right to Refuse Entry

ALDB & Associates Limited’s employees may refuse to enter a site if deemed unsafe. The Client is responsible for addressing corrective actions outlined in inspection reports.

22. Limitation of Liability

ALDB & Associates Limited is not liable for damages incurred during project activities due to health and safety recommendations or stop-work orders.

23. Response to Threats

ALDB & Associates Limited reserves the right to withdraw services immediately if its personnel face threats, hostility, or undue pressure. Incidents will be reported to law enforcement, and legal costs will be charged to the Client.

24. Court Attendance Fees

Attendance at court hearings related to the Client’s projects will be billed at €75.00 per hour, calculated from the time shown on summons until dismissal.

25. Acknowledgment of Correspondence

All correspondence between ALDB & Associates Limited and the Client must be acknowledged. Failure to do so will be interpreted as negligence by the defaulting party.

26. Usage of ALDB & Associates Limited Signage

ALDB & Associates Limited signage provided for specific projects may only be used for those projects and must not be repurposed or relocated.

27. Accuracy of Information

The Client must provide accurate, complete, and up-to-date information. ALDB & Associates Limited shall not be held liable for inaccuracies.

28. HSE Responsibility

The ultimate responsibility for health and safety on projects lies with the Client.

29. Marketing Consent

The Client consents to ALDB & Associates Limited using the following for marketing purposes:

  • Mentioning the Client as one of ALDB & Associates Limited’s customers.
  • Providing a high-level description of services rendered and project details.
  • Using photos and/or video footage of projects to showcase good practices.
  • Including any written testimonials from the Client.
